Acceptable Use Policy

This Acceptable Use Policy ("AUP") governs access to and use of the Chiri Brain platform, including all related applications, APIs, Agents, Task Personas, Council Mode, Execution Traces, and related services (collectively, the "Platform"). This AUP is incorporated by reference into Company's Online Terms of Service, Order Forms, and other customer agreements governing the Platform (collectively, the "Agreement"). Capitalized terms not defined in this AUP have the meanings set forth in the Agreement.
1. Purpose and Scope
1.1 Purpose. Chiri, Inc. ("Company") provides the Platform to support lawful, safe, and responsible business use. This AUP is intended to protect the Platform, Company, its customers, their end users, and third parties from misuse, abuse, unlawful activity, and security risks.
1.2 Scope. This AUP applies to Customer, its Affiliates, Authorized Users, Team Administrators, contractors, agents, end users acting on Customer's behalf, and any other person who accesses or uses the Platform through Customer's account.
2. Prohibited Uses
Customer shall not, and shall not permit any Authorized User or third party to, use the Platform:
2.1 In Violation of Law. To violate any applicable federal, state, local, or foreign law, regulation, court order, or legally binding obligation, including laws relating to privacy, data protection, consumer protection, anti-discrimination, export controls, sanctions, intellectual property, employment, and unfair or deceptive practices.
2.2 For Fraudulent, Deceptive, or Harmful Conduct. To engage in fraud, impersonation, phishing, social engineering, deceptive marketing, spam, harassment, defamation, unlawful surveillance, stalking, threats, abuse, exploitation, or any activity that is misleading, harmful, or abusive to any person or entity.
2.3 To Interfere with Platform Security or Integrity. To probe, scan, test, or breach the vulnerability of the Platform; circumvent or disable security controls, access restrictions, rate limits, usage limits, or credit metering; introduce malware or malicious code; interfere with the Platform's operation; disrupt other users' access; or otherwise compromise the confidentiality, integrity, or availability of the Platform or any related systems.
2.4 To Reverse Engineer or Compete. To reverse engineer, decompile, disassemble, copy, scrape, or otherwise attempt to derive source code, algorithms, model behavior, data models, or proprietary platform logic; to use the Platform, outputs, or Execution Traces to train, fine-tune, benchmark, evaluate, or improve any AI model or competing product or service; or to conduct unauthorized benchmarking or competitive analysis.
2.5 To Circumvent Account, Seat, or Credit Limits. To share login credentials in a manner inconsistent with the Agreement; create accounts to evade plan limitations; exceed purchased seat counts; manipulate or evade metering or billing; or otherwise use the Platform in a way that bypasses the commercial limits of the applicable subscription.
2.6 To Infringe Rights of Others. To upload, submit, or process content that infringes, misappropriates, or otherwise violates any third party's Intellectual Property Rights, publicity rights, privacy rights, contractual rights, or other proprietary rights.
2.7 To Process Data Without Proper Rights or Consents. To submit Client Materials or Customer Data without all necessary rights, licenses, notices, consents, and permissions; to process Personal Data in a manner not authorized by law; or to use the Platform in a way that causes Company to process data outside the scope permitted by the Agreement or applicable law.
2.8 For High-Risk Automated Decision-Making Without Appropriate Controls. To use the Platform as the sole basis for decisions regarding employment, housing, credit, insurance, education, healthcare, legal rights, public benefits, law enforcement, immigration status, physical safety, or other similarly high-risk matters, without meaningful human review, appropriate testing and validation, and compliance with applicable law.
2.9 For Unlawful Content or Regulated Harm. To generate, facilitate, promote, or automate unlawful weapons activity, unlawful self-harm activity, child sexual abuse material, terrorist activity, unlawful discriminatory conduct, or other unlawful or highly harmful activity.
2.10 For Prompt Injection, Jailbreaking, or Model Manipulation. To engage in prompt injection attacks, jailbreaking, adversarial testing outside an authorized security engagement, or other attempts to override, manipulate, or defeat safety, policy, or security controls of the Platform or integrated Third-Party Models.
2.11 To Resell or Provide Unauthorized Third-Party Access. To sublicense, rent, lease, distribute, service-bureau, white-label, or otherwise make the Platform available to any third party, except as expressly authorized in the applicable Agreement.
3. Customer Responsibilities
3.1 Authorized Users. Customer is responsible for all acts and omissions of its Authorized Users and Team Administrators and for ensuring their compliance with this AUP and the Agreement.
3.2 Human Review. Customer is solely responsible for reviewing, validating, interpreting, and approving all AI-generated outputs before relying on them in production environments or in connection with consequential decisions.
3.3 End-User Notices and Consents. Customer is responsible for obtaining all legally required notices, consents, and authorizations from its end users and other individuals whose data, content, or communications are processed through the Platform.
3.4 Third-Party Systems and Models. If Customer connects third-party tools, APIs, data sources, or model providers to the Platform, Customer is responsible for ensuring that it has the right to do so and that such use complies with all applicable agreements and laws.
3.5 Security and Reporting. Customer shall promptly notify Company of any unauthorized access to the Platform, suspected security vulnerability, misuse of the Platform, or violation of this AUP of which Customer becomes aware.
4. Enforcement
4.1 Investigation and Remediation. Company may investigate suspected violations of this AUP and may request information, cooperation, or remediation actions from Customer. Customer shall provide reasonable cooperation in connection with any such investigation.
4.2 Suspension and Removal. Company may suspend or limit access to the Platform, remove or disable content, limit features, or take other protective action if Company reasonably believes that Customer or any Authorized User has violated this AUP, that continued access poses a security or legal risk, or that such action is necessary to protect the Platform, Company, other customers, or third parties. Where reasonably practicable, Company will provide notice and an opportunity to cure, but Company may act immediately where necessary to prevent harm.
4.3 No Waiver. Company's failure to enforce this AUP in any instance does not constitute a waiver of its right to do so in any other instance.
4.4 Changes. Company may update this AUP from time to time by posting an updated version on its website or within the Platform. Material updates will apply prospectively in accordance with the governing Agreement.
